Partner Registration & Merchant Agreement

1. NATURE OF PLATFORM & INTERMEDIARY ROLE

1.1. Selling Platform Role: Genus operates solely as an online technology platform, marketplace aggregator, and selling portal connecting global travellers with verified partner tour operators. Genus provides the digital marketplace, booking engine, currency processing, and marketing exposure.
1.2. Independent Merchant: The Partner Operator acts as an independent merchant and service supplier. Nothing in this Agreement shall construct an employer-employee or legal joint venture relationship between Genus and the Partner Operator.

2. OPERATIONAL RESPONSIBILITIES & COMPLETE INDEMNIFICATION

2.1. Full Operational Ownership: All tour packages, itineraries, hotel arrangements, transport vehicles, tour guides, food quality, safety measures, and day-to-day tour execution are the 100% sole responsibility of the Partner Operator.
2.2. Zero Liability of Genus: Under no circumstances shall Genus be held liable, responsible, or accountable for any tour delays, accidents, personal injuries, loss of luggage, flight cancellations, service failures, or negligence committed by the Partner Operator.
2.3. Indemnification: The Partner Operator agrees to defend, indemnify, and hold Genus, its officers, directors, employees, and software engineers completely harmless against any legal claims, liabilities, damages, or financial costs.

3. PAYMENT CHANNELS & COLLECTION OPTIONS

3.1. Dual Payment Flexibility: Travellers booking a tour package listed by the Partner Operator may complete payment through either:

• Option A (Genus Payment Gateway): Payment processed online via Genus payment engine.
• Option B (Direct Operator Payment): Payment collected directly by the Partner Operator from the traveller.

4. ONLINE PAYMENTS, COMMISSION & PAYOUT SCHEDULE (3 TO 7 WORKING DAYS)

4.1. Genus Commission Rate: For all bookings collected through the Genus online payment engine, Genus charges a 10% Platform Commission on the gross booking amount.
4.2. Bank Remittance Payout: Genus shall remit the remaining 90% net booking funds to the Partner Operator's bank account within 3 to 7 working days of confirmed booking allocation.

5. DIRECT PAYMENTS, MONTHLY INVOICING & MANDATORY SUSPENSION RULE

5.1. Monthly Sales Report & Invoice: If travellers pay directly to the Partner Operator, Genus shall generate a Monthly Sales Report and 10% Commission Invoice on the 1st day of every calendar month.
5.2. Payment Deadline (15th of the Month): The Partner Operator MUST pay the 10% commission invoice amount to Genus on or before the 15th day of the same month.
5.3. Automatic Account Suspension & Delisting: In the event the Partner Operator fails to remit the commission invoice by the 15th, Genus shall immediately suspend the Partner Operator's account, disable portal access, and hide all partner tour packages from public view on the marketplace until all overdue commission balances are paid in full.

6. GUEST DISPUTE RESOLUTION & CONFLICT MANAGEMENT

6.1. Direct Resolution Duty: Any disputes, complaints, service discrepancies, or conflicts arising with guests before, during, or after the tour must be resolved directly by the Partner Operator at their own sole cost and effort.
6.2. Service Standards: The Partner Operator warrants that all tours delivered match the published itinerary and quality standards.

7. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.
